Terms of Service

These Terms govern access to and use of the Aurigent website and its materials, and the relationship between Aurigent and users of the site.

Definitions

These Terms govern access to and use of the Aurigent website and its materials. For the purposes of these Terms:

  • ·“Aurigent,” “we,” “us,” and “our” refer to the firm operating this website;
  • ·“you” refers to any person or organization accessing the website or its materials;
  • ·“Content” means the website and all materials published on it, including text, data, graphics, and page materials;
  • ·“Records” means the records issued by Aurigent, access to and use of which is governed by the Data License Agreement;
  • ·“Materials” means Content and Records collectively.

Acceptance and Eligibility

By accessing the website or engaging with any Content, you agree to these Terms. If you do not agree, you should not access the website or its Materials.

The website is intended for business and professional use by senior personnel of enterprises and organizations. By accessing it, you represent that you are authorized to do so on behalf of your organization.

Use of Website Content

Content is provided for informational and institutional reference purposes only. You may not copy, reproduce, republish, redistribute, or create derivative works from any portion of the Content without prior written consent.

Permitted access to the Content transfers no ownership and grants no right beyond viewing the website for its intended purpose.

Issued Records

Access to and use of Records is governed by the Aurigent Data License Agreement, which controls the license, classification, distribution, retention, and permitted use of all issued Records.

Where an issued Record and the website Content address the same matter, the issued Record controls.

Acceptable Use of the Site

When accessing the website, you shall not:

  • ·access, or attempt to access, any non-public area, system, or Material without authorization;
  • ·interfere with, disrupt, or impose an unreasonable load on the website or its infrastructure;
  • ·use automated means to scrape, harvest, index, or extract Content except as expressly permitted;
  • ·circumvent, disable, or interfere with any access control, security, or authentication measure.

Aurigent may restrict or withdraw access where use is inconsistent with these Terms.

Intellectual Property

The website, its design, and all trademarks, logos, names, and original Content are the property of Aurigent or its licensors and are protected under applicable law.

You may not use any Aurigent name, mark, or Content without prior written permission. All rights not expressly granted are reserved. Intellectual property in issued Records is addressed under the Data License Agreement.

No Endorsement

References to companies, products, technologies, or organizations within the Content are provided for informational purposes and do not constitute endorsement, recommendation, or certification by Aurigent.

Third-Party Links

The website may link to third-party websites or resources for reference or convenience. Aurigent does not control and is not responsible for the content, policies, or practices of any third-party site, and the inclusion of any link does not imply endorsement.

No Warranties and No Professional Advice

The Content is provided “as is” and “as available.” While Aurigent endeavors to maintain accuracy, it makes no representations or warranties, express or implied, as to the completeness, reliability, timeliness, or fitness for any particular purpose of the Content.

The Content does not constitute financial, legal, technical, strategic, or investment advice, and shall not be relied upon as the sole basis for any decision. You assume full responsibility for any decision made in reliance on the Content.

Limitation of Liability

To the fullest extent permitted by law, Aurigent shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your access to or use of the website or Content, including any errors or omissions therein.

Aurigent's total aggregate liability for any claim arising from your use of the website or Content shall not exceed one hundred United States dollars (USD 100).

Relationship to Other Policies and Precedence

These Terms operate together with the Aurigent Privacy Policy, Communications Policy, Information Security Policy, and Data License Agreement, each of which is incorporated by reference.

Where a separate written agreement between you and Aurigent applies to a particular matter, that agreement controls as to that matter. In the absence of such an agreement, these Terms and the incorporated policies govern. As to issued Records, the Data License Agreement controls; as to the formal status of an issued Record, the issued Record controls.

Changes

Aurigent may modify, suspend, or discontinue any part of the website, Content, or these Terms at any time. The version of these Terms reflected on the website constitutes the current operative version; by continuing to access the website or Content, you agree to the version then in effect.

General Provisions

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. No failure to enforce any provision constitutes a waiver of it. These Terms, together with the incorporated policies, constitute the entire agreement regarding use of the website and Content.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute shall be resolved exclusively in the courts of the State of Delaware.
